These Terms of Service ("Terms") govern your access to and use of the Nexus Talent platform and related services (collectively, the "Services") provided by JR-Nexus Co., Ltd. ("JR-Nexus," "we," "us," or "our"). By accessing or using our Services, you agree to be bound by these Terms.
Agreement: By creating an account or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.
1. Definitions
- "Customer" or "You" refers to the organization or individual who registers for our Services
- "User" refers to any individual authorized by the Customer to access the Services
- "Candidate Data" refers to personal data of job applicants uploaded to our platform
- "Credits" refers to the usage units for AI-powered features
- "Subscription" refers to your paid service plan
2. Account Registration and Eligibility
2.1 Eligibility
You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or your organization.
2.2 Account Security
- You are responsible for maintaining the confidentiality of your account credentials
- You must immediately notify us of any unauthorized access
- You are responsible for all activities under your account
- Strong passwords are required (minimum 8 characters with mixed case, numbers, and symbols)
2.3 Organization Accounts
If you register on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
3. Services Description
3.1 Nexus Talent Platform
Our Services include:
- CV/resume upload and management
- AI-powered candidate assessment and analysis
- Interview question generation
- Job description management
- Multi-user access with role-based permissions
3.2 AI-Powered Features
Our AI features use third-party providers (including OpenAI). You acknowledge that:
- AI outputs are recommendations, not guarantees
- Human review is recommended for all hiring decisions
- We do not guarantee accuracy of AI-generated content
4. Subscription Plans and Billing
4.1 Subscription Terms
- Subscriptions are billed monthly or annually as selected
- Payment is due at the beginning of each billing period
- All prices are in Thai Baht (THB) unless otherwise stated
- Prices exclude applicable taxes (e.g., 7% VAT in Thailand)
4.2 Credit System
- Credits are used for AI-powered operations (CV analysis, question generation, etc.)
- Unused credits do not roll over to the next billing period unless specified
- Additional credits can be purchased separately
4.3 Refunds
- Subscriptions may be cancelled at any time
- Refunds are not provided for partial billing periods
- Unused credits are not refundable upon cancellation
- All purchases are final
5. Acceptable Use
5.1 You Agree To:
- Use the Services only for lawful recruitment and HR purposes
- Comply with all applicable laws, including Thailand's PDPA
- Obtain necessary consents before uploading candidate data
- Keep candidate data accurate and up-to-date
- Respect intellectual property rights
5.2 You Agree Not To:
- Share your account credentials with unauthorized persons
- Upload malicious files, viruses, or harmful content
- Attempt to access other customers' data
- Use the Services for discriminatory hiring practices
- Reverse engineer, copy, or modify our software
- Exceed your subscription's usage limits
- Resell or redistribute access to the Services
6. Customer Data and Privacy
6.1 Data Ownership
You retain all rights to the data you upload. We do not claim ownership of your content.
6.2 Data Processing
- We process Candidate Data as a data processor on your behalf
- You remain the data controller responsible for PDPA compliance
- You must ensure you have legal basis to process candidate data
6.3 Data Security
We implement industry-standard security measures as described in our Privacy Policy.
7. Intellectual Property
7.1 Our Rights
The Services, including software, design, logos, and content, are owned by JR-Nexus or our licensors. You receive a limited, non-exclusive license to use the Services during your subscription.
7.2 Feedback
If you provide feedback or suggestions, we may use them without obligation to you.
8. Service Availability
- We strive for 99.9% uptime but do not guarantee uninterrupted service
- Scheduled maintenance will be announced in advance when possible
- We may modify or discontinue features with reasonable notice
9. Limitation of Liability
To the maximum extent permitted by Thai law:
- Our total liability is limited to fees paid in the 12 months prior to the claim
- We are not liable for indirect, incidental, or consequential damages
- We are not liable for hiring decisions made based on our AI recommendations
- We are not liable for data loss due to your failure to maintain backups
10. Indemnification
You agree to indemnify and hold JR-Nexus harmless from claims arising from:
- Your violation of these Terms
- Your use of the Services
- Your violation of third-party rights
- Candidate data you upload without proper authorization
11. Termination
11.1 By You
You may cancel your subscription at any time through your account settings or by contacting support.
11.2 By Us
We may suspend or terminate your account for:
- Violation of these Terms
- Non-payment of fees
- Fraudulent or illegal activity
11.3 Effect of Termination
- Your access to the Services will end
- Your data will be retained for 30 days, then deleted
- You may request data export before termination
12. Dispute Resolution
12.1 Governing Law
These Terms are governed by the laws of the Kingdom of Thailand.
12.2 Dispute Process
- Disputes should first be addressed through our support team
- If unresolved, disputes shall be submitted to arbitration in Bangkok, Thailand
- The language of arbitration shall be Thai or English
13. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes via email or through the platform. Continued use after changes constitutes acceptance.
